Terms of Service

By accessing or using AtlasBrokers ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and AtlasBrokers Inc. ("we", "us", or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

AtlasBrokers is a comprehensive insurance brokerage platform that provides broker directory services, workspace management tools, CRM, AI-powered agents, drip campaigns, analytics, and related features. The Service is designed for insurance professionals and brokerages operating in Canada. Features may vary by subscription plan.

By creating an account, you agree to the following:

• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Each account is for a single individual. Sharing login credentials is not permitted.
• You must be at least 18 years of age to create an account and use the Service.
• Workspace owners are responsible for managing member access and permissions within their workspace.

You agree not to use the Service to:

• Engage in any unlawful, fraudulent, or deceptive activity, or violate any applicable federal, provincial, or municipal laws.
• Reverse engineer, decompile, or disassemble any part of the Service, or attempt to access source code or proprietary algorithms.
• Gain unauthorized access to other users' accounts, workspaces, or data.
• Upload or transmit malicious code, viruses, or any material that could damage or interfere with the Service.
• Use AI features to generate spam, misleading content, or content that violates applicable regulations.
• Make excessive API requests or attempt to overload the Service infrastructure.
• Resell, sublicense, or redistribute the Service or any part of it without our prior written consent.

AtlasBrokers provides AI-powered features including agents, lead scoring, and automated workflows. By using these features, you acknowledge:

• AI agents act on your behalf within your workspace. You are responsible for reviewing and approving actions taken by AI agents.
• You should review AI-generated content (emails, summaries, scores) before sending or relying on it for business decisions.
• AI suggestions are informational and do not constitute professional insurance, legal, or financial advice.
• We are not liable for decisions made based on AI-generated outputs. You retain full responsibility for your business decisions.
• AI usage is subject to fair use limits based on your subscription plan. Exceeding limits may result in temporary throttling.

AtlasBrokers offers free and paid subscription plans:

• Free Plan — Basic access with limited features and usage quotas. No credit card required.
• Paid Plans — Pro and Enterprise plans are billed monthly or annually via Stripe. Subscriptions auto-renew unless cancelled before the renewal date.
• Price Changes — We may adjust pricing with 30 days' notice. Price changes take effect at the next billing cycle.
• Refunds — We do not offer refunds for partial billing periods. You may cancel at any time and continue using the Service until the end of your current billing period.
• Failed Payments — If a payment fails, we will attempt to collect payment for up to 14 days. After that, your workspace may be downgraded to the Free plan.

You retain ownership of all data and content you upload to the Service:

• You own all data you create, upload, or store within your workspace, including contacts, documents, campaigns, and files.
• You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service.
• You can export your data at any time from your workspace settings in standard formats (CSV, JSON).
• You are responsible for ensuring that any data you upload does not infringe on third-party rights or violate applicable laws.

The Service and its original content, features, and functionality are owned by AtlasBrokers Inc.:

• You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
• Feedback or suggestions you provide may be used by us to improve the Service without obligation or compensation to you.
• AtlasBrokers, the AtlasBrokers logo, and related marks are trademarks of AtlasBrokers Inc. You may not use our trademarks without permission.

We strive to maintain high availability but cannot guarantee uninterrupted access:

• We target 99.9% uptime but do not guarantee it. The Service is provided on an "as available" basis.
• We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without prior notice.
• We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

To the fullest extent permitted by Canadian law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the actions, content, or services of third-party integrations or linked websites.

Either party may terminate the agreement:

• By You — You may cancel your subscription and delete your account at any time from your account settings.
• By Us — We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees.
• Data After Termination — Upon termination, you will have 30 days to export your data. After that, your data will be permanently deleted.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings arising from these Terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada.

Before filing a formal legal claim, you agree to contact us first at legal@atlasbrokers.ca to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal proceedings in accordance with the Governing Law section above.
